Terms of sale and use
The terms that apply to the subscription and to the use of the pylotik platform.

The French version is the legally binding text. This English version is provided for information. Lire la version française.
1. Purpose and contractual documents
These general terms govern the sale and use of the pylotik application platform, published by orgatypik, a simplified joint-stock company (société par actions simplifiée) with share capital of €5,000, registered with the Toulouse trade and companies register (RCS) under number 108 509 084, whose registered office is at 9 passage Bourguignon, 31130 Balma, France, hereinafter "the Publisher".
They apply to any organization that takes out a subscription, hereinafter "the Customer". They are reserved for business customers: the platform is neither offered nor sold to consumers within the meaning of the French Consumer Code.
In the event of a conflict, the documents prevail in the following order:
- the signed order form or quote, and any special conditions it contains;
- the data processing agreement (DPA) for personal data, annexed to the contract;
- these general terms;
- the platform's user documentation.
The content of the pylotik.com website has no contractual value, except for the elements reproduced in the documents above. This applies in particular to the roadmap (published in French): the dates it shows reflect development priorities, not delivery commitments. What is contractual is in the contract.
2. Definitions
- Platform: the pylotik web application, accessible through a browser, excluding the pylotik.com showcase website.
- Organization: the Customer's space on the Platform, sealed off from every other.
- User: a natural person with named access to the Organization.
- Pilot seat: access that opens all functions, including the portfolio view, the weather indicator, margins, committees, risks, team follow-up and per-client reporting.
- Contributor seat: access to enter and follow one's own work, with no financial indicator, no team aggregate and no portfolio view.
- Client access: free access opened to a client organization of the Customer, on the projects and contracts that concern it only, to follow them and to validate what is submitted to it.
- Module: an optional set of functions, subscribed in addition to seats from the Business tier and invoiced independently of them, under the conditions of Article 6.
- Customer Data: all the content entered, imported or generated in the Organization.
3. Subscription and entry into force
The subscription is taken out by signing an order form that specifies the chosen tier, the number of seats of each type, the modules subscribed where applicable and the date the service opens. The contract enters into force on that opening date.
Subscribing constitutes unreserved acceptance of these terms. The Customer's own purchasing terms are not enforceable against the Publisher, unless the Publisher accepts them expressly and in writing.
4. Seats and assignment
The subscription is counted in named seats. A seat cannot be shared between several people; it can, however, be reassigned to another person when the previous one leaves their role.
The distinction between the two seats is contractual and enforceable: a Pilot is someone who performs a steering, governance or decision-making function. The Customer remains in control of the assignment, which is made in the Platform.
A User who takes on a steering responsibility moves to a Pilot seat for the period concerned, then goes back to their original seat. Seat movements are settled every quarter, pro rata to the months concerned: a three-month assignment does not lead to a permanent surcharge.
The number of seats can be increased at any time, with effect from the current month, and settled in the following quarter under the conditions of Article 7. It can only be reduced at the end of the current commitment period, under the conditions of Article 8. These movements are made at the price of the current tier: they do not change the tier itself, which is governed by Article 8.
5. Client access
Client access is free, whatever the tier, and is not counted against any seat. The client organization has no license to buy in order to follow and validate what the Customer submits to it.
This access is opened only to the projects that concern the client organization, and is exercised in read mode, apart from the actions expressly submitted to it, such as validating or rejecting with reasons a meeting report, confirming or refusing an amendment, signing or refusing with reasons the acceptance of an intervention, and carrying out the actions assigned to it. It does not modify the Customer's production data. The Customer's internal data, in particular its human resources, workload, production, margin and internal steering data, is never accessible to it.
The client organization can later become an independent, paying organization, with no migration and no loss of data.
6. Prices
Prices appear on the order form. They are expressed in euros, excluding tax, per seat per month, and apply to a commitment period of twelve months, whatever the invoicing rhythm chosen under Article 7. Value added tax is added at the rate in force.
Storage is included, with no quota and no usage-based billing.
Modules are not included in the seat price. They are available from the Business tier and invoiced as a monthly flat fee per Organization, which includes a volume of users or participants, and, beyond that, at a unit price by marginal bands. The modules offered are Interventions (scheduling of interventions and acceptance of the intervention, confirmed by the client's signature), Extended Project (several lots, nested projects, dependencies) and Pre-sales steering, which is planned to be made available in December 2026. Maintenance contracts are part of the core and do not belong to any module. Module prices appear on the Publisher's pricing page and on the order form; they follow the rules of firmness and revision of this Article.
The acceptance of an intervention signed in the Platform is timestamped and traced; it is neither an advanced electronic signature nor a qualified electronic signature within the meaning of Regulation (EU) No 910/2014, known as "eIDAS".
Application connectors are not included in the seat price. They are optional, built according to the Customer's needs, and priced separately.
The price is firm during the current commitment period: no revision takes effect during that period. It may be revised at each renewal, the pricing grid in force then applying to the new period. Any revision is notified to the Customer at least three months before the end of the period and only takes effect at renewal; the Customer may then terminate under the conditions of Article 8.
Any commercial discount granted at subscription applies to the first commitment period, unless the order form provides otherwise. Beyond that, the tariff in force applies. The end of a discount is notified to the Customer at least three months before it ends, so that the Customer keeps the termination notice period provided for in Article 8.
7. Invoicing and payment
- Business and Enterprise tiers: annual invoicing in advance, issued at subscription and at each renewal, based on the seats committed on the order form. A quarterly split is possible at the Customer's request, with no surcharge.
- Starter tier: monthly invoicing, payable in advance, at the start of the month.
- Seat movements: settled every quarter, in arrears, pro rata to the months concerned.
- Modules: their flat fee is invoiced at the same rhythm as seats; users or participants beyond the included volume are settled every quarter, in arrears, like seat movements.
Invoices are payable by bank transfer within thirty days of the invoice date. No discount is granted for early payment.
In accordance with Articles L441-10 and D441-5 of the French Commercial Code (code de commerce), any late payment automatically incurs penalties calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation, plus ten points, as well as a fixed recovery cost allowance of forty euros, without prejudice to additional compensation for the loss actually suffered.
If payment default persists more than thirty days after a formal notice (mise en demeure) that has had no effect, the Publisher may suspend access to the Platform. Suspension does not suspend the obligation to pay the sums due and does not affect the retention of Customer Data, which remains exportable under the conditions of Article 14.
8. Term, renewal and termination
The subscription is taken out for an initial period of twelve months, which is firm.
At the end of this period, it is tacitly renewed for successive periods of twelve months. Either party may end it at the end of the current period, subject to two months' notice given in writing before that date.
On the same occasion, the Customer may reduce its number of seats for the following period, with the same notice.
The tier chosen on the order form applies for the whole of the current commitment period. A change of tier, upward or downward, takes effect at the end of that period and for the following period; it is requested in writing within the same notice period. Growth in the Customer's headcount during a period does not by itself entail a change of tier or a surcharge: added seats are added at the price of the current tier, under the conditions of Article 4. The headcount ranges shown on the pylotik.com website are indicative and are not ceilings.
Either party may terminate the contract by operation of law in the event of a serious breach by the other of its obligations, not remedied within thirty days of a written formal notice (mise en demeure). Termination for the Customer's fault gives rise to no refund of sums already paid for the current commitment period.
9. Availability and maintenance
The Publisher uses the means necessary to ensure the accessibility of the Platform. It is bound by an obligation of means (obligation de moyens), not an obligation of result, as to the availability of the service.
Planned maintenance operations are announced at least forty-eight hours in advance and, as far as possible, carried out outside working hours. Urgent corrective interventions may take place without notice.
The Starter and Business tiers carry no quantified availability commitment and no penalty for unavailability. A service commitment backed by measured indicators will be the subject of a separate offer at the Enterprise tier, from its commercial opening.
The Publisher cannot be held liable for unavailability attributable to the internet network, to the Customer's equipment or configuration, or for an interruption due to force majeure within the meaning of Article 17.
10. Support
Support is included in the subscription and is provided electronically, in French, on working days. It covers the use of the Platform and the handling of anomalies. It does not include training, configuration on the Customer's behalf, or data migration, which may be the subject of separate services.
The response time shown on the website for commercial requests is not a support response-time commitment.
11. Customer obligations
The Customer undertakes to:
- appoint an organization administrator and keep the list of its Users up to date;
- keep credentials, which are strictly personal, confidential, and report without delay any suspected compromise;
- use the Platform only for lawful purposes consistent with its intended use;
- make sure it has the right to process the data it enters, and that its collection was lawful;
- inform its Users, and where applicable their staff representatives, of the introduction of the tool.
The Customer is responsible for the use made of the Platform under its credentials. Any attempt at unauthorized access, reverse engineering, systematic extraction of content or circumvention of technical measures is prohibited.
12. Intellectual property
The Platform, its code, architecture, interfaces, documentation and distinctive signs remain the exclusive property of the Publisher. The contract entails no transfer of rights.
The Publisher grants the Customer, for the duration of the contract, a personal, non-exclusive, non-transferable right of use, without the right to sub-license, of the Platform, limited to the internal needs of its organization and to the number of seats subscribed.
The Publisher's know-how and the undisclosed elements of the Platform are protected as trade secrets. The Customer refrains from any attempt to reconstruct their design, except in the interoperability cases provided for by Article L122-6-1 of the French Intellectual Property Code.
13. Customer Data
The Customer keeps all of its rights over its Data. The contract transfers no ownership to the Publisher.
The Publisher has over this Data only the rights strictly necessary to perform the service: host it, back it up, return it and let the Customer access it.
In particular, the Publisher does not use Customer Data for any other purpose. It does not use it to produce market statistics or benchmarks, even aggregated or anonymized, nor to improve or train an algorithmic model, nor for commercial purposes. It neither transfers nor discloses it to any third party, apart from the technical processors listed in the DPA and cases where the law requires it.
The Platform implements no mechanism for the automated scoring, ranking or evaluation of people.
Publisher staff access to the Organization, for support purposes, takes place in a separate context, explicitly activated, read-only and traced. No Publisher employee intervenes in the relationship between the Customer and its own clients.
The processing of personal data is governed by the data processing agreement concluded under Article 28 of the GDPR, which forms an integral part of the contract. It is provided on request, before contracting.
14. Reversibility and end of contract
The Customer can export its Data at any time, by itself and free of charge, from the Platform, in open, machine-readable formats (CSV and JSON). This ability is subject to no prior request.
On expiry or termination of the contract, the Data remains available for export for ninety days. After that period, it is deleted from the production environments, then from the backups according to their rotation cycle.
Early deletion can be requested in writing at any time during this period. A migration support service, if the Customer wants one, is the subject of a separate quote; it is never a precondition for export.
Legal retention obligations, in particular accounting ones, remain reserved.
15. Confidentiality
Each party undertakes to keep confidential the other's information that it becomes aware of in connection with the contract, to use it only for the performance of the contract, and to restrict access to the people who need it. This undertaking continues for five years after the end of the contract.
Excluded are public information, information already known without any confidentiality obligation, and information whose disclosure is required by law or by a competent authority.
The Publisher may cite the Customer's name or distinctive signs as a commercial reference only with its prior written agreement.
16. Liability
The Publisher is bound by an obligation of means in the performance of the contract.
The Publisher's liability, for all causes combined, except for bodily injury and gross negligence or willful misconduct, is capped at the sums, excluding tax, actually paid by the Customer in the twelve months preceding the event giving rise to liability.
The Publisher is not liable for indirect damage, in particular loss of revenue, margin, customers, opportunity or reputation, or for loss of data attributable to the Customer or to a third party.
The Platform is a steering tool: it reports what its Users enter in it. The Publisher guarantees no economic result, no productivity gain and no saving. The orders of magnitude published on the pylotik.com website come from unaudited internal models and are neither a commitment nor a guarantee of results.
Management decisions taken by the Customer on the basis of the information reported are its sole responsibility.
17. Force majeure
Neither party is liable for a failure due to an event of force majeure within the meaning of Article 1218 of the French Civil Code (code civil). If the impediment continues beyond sixty days, either party may terminate the contract in writing, without compensation.
18. Changes to the Platform and to these terms
The Platform evolves. The Publisher may change its features, provided it does not substantially degrade the essential functions subscribed. Two guarantees remain throughout the contract:
- hosting remains located in France, and in any event in the European Union;
- no change breaks the history: the data entered remains readable from one version to the next.
These terms may be amended. Any amendment is notified to the Customer at least three months before it takes effect, and applies only from the next renewal. If the Customer refuses a substantial amendment, it may terminate without penalty before it takes effect.
19. Assignment
The contract may not be assigned by the Customer without the Publisher's prior written agreement. The Publisher may assign the contract to a successor as part of a restructuring, on condition of informing the Customer, who may then terminate without penalty within three months.
20. Governing law and jurisdiction
The contract is governed by French law.
The parties endeavor to resolve any dispute amicably. Failing agreement within sixty days, the courts of Toulouse have exclusive jurisdiction, including in the case of several defendants, third-party proceedings or urgent proceedings.
